Terms of Use

These Terms of Use govern your access to and use of the Importify marketing website at www.importify.com, the Importify dashboard at app.importify.net, Importify applications, browser extensions, product import tools, AI tools, support services, and related services (together, the "Service"). The Service is operated by Importify Limited ("Importify", "we", "us", or "our").

By accessing the website, creating an account, installing an app or browser extension, connecting a store, starting a trial, or using the Service, you agree to these Terms. If you use the Service for a business, you represent that you have authority to bind that business.

1. Eligibility and accounts

You must be at least 18 years old and legally able to enter into these Terms. You are responsible for the accuracy of account information, the security of your login credentials, and all activity under your account.

You must notify us promptly if you believe your account has been accessed without authorization.

2. What Importify provides

Importify helps merchants find, import, edit, and manage product listings from supported source marketplaces and suppliers into ecommerce platforms such as Shopify, Wix, WooCommerce, BigCommerce, and Jumpseller.

The Service may include product import tools, listing editing, pricing rules, product research workflows, browser extension functionality, order workflow tools, AI-assisted product content tools, support materials, and related features.

3. Third-party platforms, suppliers, and marketplaces

Importify connects with third-party platforms and source websites. We do not own or control those third-party platforms, suppliers, marketplaces, shipping carriers, payment providers, or their policies.

You are responsible for reviewing and complying with the terms, policies, intellectual property rules, shipping rules, return rules, marketplace rules, and product restrictions of every platform, supplier, and marketplace you use.

Importify does not guarantee that any product, supplier, marketplace, listing, image, product description, review, price, stock level, shipping estimate, or product claim is accurate, lawful, available, or suitable for resale.

4. Merchant responsibilities

You are solely responsible for your store, your listings, your customer relationships, your product selection, your prices, your taxes, your shipping policies, your return and refund policies, your customer service, your advertising claims, and your compliance with applicable laws.

You must not sell counterfeit, unsafe, prohibited, restricted, infringing, misleading, illegal, or unauthorized products. You must have the right to use any product images, names, descriptions, trademarks, brands, reviews, videos, or other content you publish.

You are responsible for checking imported content before publishing it. Importify tools are intended to assist your workflow, not replace your legal, compliance, sourcing, product safety, or customer service review.

5. Acceptable use

You agree not to misuse the Service. Prohibited conduct includes:

• using the Service for unlawful, fraudulent, abusive, misleading, or infringing activity;
• attempting to access accounts, systems, data, or areas of the Service without authorization;
• interfering with the security, stability, or performance of the Service;
• scraping, copying, reselling, sublicensing, reverse engineering, or competing with the Service except where permitted by law;
• uploading malware, harmful code, or content that violates third-party rights;
• using the Service to publish deceptive product claims, unauthorized brand claims, fake reviews, or misleading pricing.

6. AI-assisted features

Importify may offer AI-assisted tools for product titles, descriptions, translations, optimization, or related workflows. AI output can be inaccurate, incomplete, repetitive, or unsuitable for a specific product or market.

You are responsible for reviewing AI-assisted output before using it. You must not rely on AI output as legal, tax, product safety, medical, financial, regulatory, or compliance advice.

7. Subscriptions, billing, trials, and refunds

Paid features may require a subscription. Pricing, plan limits, billing intervals, trial availability, and included features may vary by plan, platform, and billing channel.

If you subscribed through the Shopify App Store or Wix App Market, billing, cancellation, and payment processing are handled through Shopify or Wix app-store billing systems. If you subscribed through WooCommerce, BigCommerce, or Jumpseller, payment processing is handled by PayPro Global.

Refunds, cancellations, and trial terms are described in our Refund Policy. The Refund Policy forms part of these Terms.

8. Store connections and permissions

To use certain features, you may need to connect your ecommerce store, install an app, install a browser extension, grant API permissions, or provide store access. You authorize Importify to use those permissions to provide the Service.

You are responsible for managing access to your store and for removing permissions when you no longer want Importify to access a store or platform.

9. Service changes and availability

We may add, remove, suspend, limit, or modify features from time to time. Some features depend on third-party websites, browser behavior, platform APIs, supplier websites, or marketplace availability, and those dependencies may change without notice.

We try to keep the Service available, but we do not guarantee uninterrupted, error-free, or permanent availability.

10. Intellectual property

The Service, website, software, design, text, graphics, logos, workflows, documentation, and other Importify materials are owned by Importify or its licensors and are protected by intellectual property laws.

Subject to these Terms and your active subscription where applicable, we grant you a limited, revocable, non-exclusive, non-transferable right to use the Service for your own ecommerce business operations.

11. Your content and store data

You retain ownership of content and data you submit, import, edit, or publish through the Service. You grant Importify the rights needed to host, process, transmit, modify, display, and use that content and data as necessary to provide, maintain, secure, and improve the Service.

You represent that you have the rights required to use any content or data you provide to the Service.

12. Privacy and cookies

Our collection and use of personal information across www.importify.com, app.importify.net, Importify apps, browser extensions, and related services is described in our Privacy Policy. Our use of cookies, local storage, analytics consent, and similar technologies is described in our Cookie Policy.

13. Disclaimers

The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Importify disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and uninterrupted operation.

Importify does not guarantee supplier reliability, product quality, product legality, shipping times, inventory availability, marketplace policy compliance, store revenue, profit, sales results, search rankings, or advertising performance.

14. Limitation of liability

To the fullest extent permitted by law, Importify will not be liable for indirect, incidental, consequential, special, exemplary, punitive, or lost-profit damages, including loss of revenue, loss of customers, store suspension, marketplace enforcement, product liability, supplier errors, shipping delays, or data loss.

To the fullest extent permitted by law, Importify's total liability for any claim relating to the Service is limited to the amount you paid to Importify for the Service during the three months before the event giving rise to the claim.

15. Indemnity

You agree to defend, indemnify, and hold Importify harmless from claims, damages, losses, liabilities, costs, and expenses arising from your store, products, listings, customers, content, supplier relationships, misuse of the Service, violation of these Terms, violation of law, or infringement of third-party rights.

16. Suspension and termination

We may suspend or terminate access to the Service if you violate these Terms, fail to pay fees, create risk for Importify or other users, misuse the Service, or if a platform or legal requirement requires us to do so.

You may stop using the Service and cancel your subscription according to the cancellation process for your billing channel.

17. Governing law and disputes

These Terms are governed by the laws of Hong Kong, without regard to conflict-of-law rules, except where mandatory consumer protection laws require otherwise.

Where permitted by law, disputes relating to these Terms or the Service will be brought in the competent courts of Hong Kong. Either party may seek urgent injunctive or equitable relief in any competent court to protect intellectual property, confidential information, security, or platform access.

18. Changes to these Terms

We may update these Terms from time to time. The updated version will be posted on this page with a new update date. Continued use of the Service after an update means you accept the updated Terms.
